General Terms of Sale

Preamble

These general terms of sale (hereinafter referred to as the "Terms of Sale") govern the commercial conditions applicable to the purchase of credits and the use of paid services offered by VIDEAS, a simplified joint-stock company (SAS) with a share capital of €1,000.00, registered with the Lille Trade and Companies Register under number 834 356 677, with its registered office located at 4702, Che De l'Aventure, 59236 FRELINGHIEN (hereinafter "VIDEAS").

These Terms of Sale supplement the General Terms of Use and Service. In the event of a conflict between the Terms of Use and the Terms of Sale, the provisions of the Terms of Sale shall prevail for commercial and financial matters.

Any purchase of credits on the Platform implies the User's unreserved acceptance of these Terms of Sale.

1. Pricing model

1.1 Prepaid credit system

VIDEAS offers a pay-as-you-go pricing model based on a prepaid credit system, with no commitment or subscription. The User tops up their credit balance as needed. One credit equals one euro (1 credit = €1).

Purchased credits do not expire and remain available as long as the User's account is active.

1.2 Complimentary credit upon registration

Upon account creation, the User receives an initial balance of €10 in complimentary credits, with no credit card required. This complimentary credit is subject to the same terms of use as purchased credits. It is neither refundable nor transferable.

1.3 Top-up bonuses

VIDEAS may offer additional credit bonuses upon top-up, according to the applicable tiers. The conditions and amounts of bonuses are indicated on the Platform's top-up page and may be modified at any time by VIDEAS.

2. Service pricing

2.1 Recurring services

Recurring services are billed on a daily pro-rata basis and deducted daily from the User's credit balance. Recurring services include:

  • Video storage — billed per hour of hosted video per month
  • File storage — billed per GB of stored files per month
  • Bandwidth — billed per GB of data transferred per month
  • Additional channels (Channels) — billed per additional channel per month

2.2 One-time services

One-time services are billed per unit at the time of use and deducted immediately from the credit balance. One-time services include:

  • Automatic subtitling (AI) — billed per minute of subtitled content

2.3 Current pricing

Detailed pricing for each service is available on the Platform's Pricing page. VIDEAS reserves the right to modify its pricing at any time. New prices shall apply from the date of publication and shall not have retroactive effect on consumption already billed.

Prices are indicated in euros excluding taxes. Applicable VAT is added at the time of credit top-up.

3. Payment terms

3.1 Payment method

Credit top-ups are made by credit card (Visa, Mastercard, American Express) via the Stripe secure payment platform. The User is invited to review Stripe's terms and conditions at: https://stripe.com/ssa

VIDEAS is not affiliated with the payment provider and disclaims all responsibility regarding the services provided by said provider, as well as any damages or losses resulting from its service.

3.2 Payment due date

Payment is due immediately at the time of top-up. Credits are added to the User's balance upon confirmation of payment by the payment provider.

3.3 Invoicing

An invoice is automatically issued for each credit top-up. The User may view and download their invoices from their personal space on the Platform.

4. Insufficient balance

In the event of an insufficient credit balance to cover the daily consumption of recurring services, VIDEAS reserves the right to:

  • Notify the User by email of their insufficient balance;
  • Suspend access to the Platform's paid services until the balance is topped up;
  • Retain the content hosted by the User for a reasonable period after suspension.

In the event of a prolonged insufficient balance without top-up by the User, VIDEAS reserves the right to delete hosted content after prior notification and a thirty (30) day notice period.

5. Refunds and right of withdrawal

5.1 Non-refundable credits

Purchased credits are non-refundable, except as otherwise required by law. Complimentary credits (upon registration or during promotions) are in no case refundable.

5.2 Right of withdrawal

By purchasing credits, the User who is not acting in a professional capacity expressly agrees that the provision of the Platform's digital services begins immediately and that credits are available without delay.

In accordance with the provisions of Article L.221-28 of the French Consumer Code, the User accordingly acknowledges that they cannot benefit from a right of withdrawal on consumed credits. For unconsumed credits, the right of withdrawal may be exercised under the conditions provided by law.

6. Custom services

The User may request VIDEAS's services for optional installation, configuration, customization or support services. Such services shall only be provided following a quote proposed by VIDEAS and accepted by the User.

The financial and payment conditions for custom services are defined in the corresponding quote and may derogate from these Terms of Sale.

7. Liability

VIDEAS's liability for any failure in the performance of its services is capped at the amount of sums paid by the User for credits purchased during the twelve (12) preceding months.

VIDEAS is not liable for indirect damages, loss of profit, loss of opportunity or expected benefits, nor for the financial consequences of actions potentially brought by third parties against the User.

8. Applicable law and disputes

These Terms of Sale are governed by French law.

In the event of a dispute, the User is invited to address their complaint to VIDEAS by email at [email protected] or via the contact form.

In the event of a dispute arising in the interpretation or performance of these Terms of Sale, the parties agree that the dispute shall be governed by French law and assign exclusive jurisdiction to the Commercial Court of Lille.
